Terms of Use

Welcome to TadaIQ! These Terms of Use ("Terms") govern your access to and use of the TadaIQ data intelligence platform,including our mobile application for Contributors and our web-based platform for Clients (collectively, the "Platform"). TadaIQ operates across Francophone Africa, connecting individuals who perform data collection tasks ("Contributors") with organizations accessing data and insights ("Clients"). By registering for, accessing, or using the Platform, you agree to these Terms, which form a binding legal agreement between you and TadaIQ. If you do not agree, you must not use the Platform.

Please read these terms carefully before using the Platform.

1. Definitions

"TadaIQ," "we," "us," or "our":

Refers to the TadaIQ data intelligence platform and the company operating it (including its affiliates, agents, and employees).

"Platform":

The TadaIQ services and systems, including the mobile application for Contributors, the web application or dashboard for Clients, and any related software, websites, APIs, and services provided by TadaIQ.

"Contributor":

An individual user of the Platform who completes micro-tasks (such as surveys, photo submissions, field data collection, or other data-gathering activities) via the TadaIQ mobile app or other interfaces in exchange for rewards or compensation.

"Client":

A user of the Platform (typically a business, non-profit, public entity, or their representative) that creates or commissions tasks/campaigns and/or accesses the data insights, dashboards, or analytic results provided by TadaIQ.

"User":

Any person or entity using the Platform, whether as a Contributor, a Client, or otherwise. "You" may refer to a Contributor or a Client, as applicable.

"Tasks":

The micro-tasks or assignments made available to Contributors via the Platform. Tasks may include surveys, questionnaires, taking photographs, gathering field information, or other data collection activities specified by TadaIQ or Clients.

"Submission" or "Contributor Content":

Any content or data that a Contributor provides or uploads when completing a Task (e.g., survey responses, photos, location information, observations, and any other information submitted).

"Client Data/Insights":

The data, reports, or analytical insights that Clients receive through the Platform, which may be aggregated results of Contributor Submissions or other analyses provided by TadaIQ.

"Personal Data":

Information that relates to an identified or identifiable individual, as defined under applicable data protection laws (such as the GDPR and CCPA).

"Privacy Policy":

TadaIQ's separate policy outlining how we collect, use, store, and protect personal data of Contributors, Clients, and other users, in compliance with applicable laws (including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and relevant African data protection laws).

2. Acceptance of Terms

By creating an account or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein or provided to you within the Platform. If you are using the Platform on behalf of an organization (for example, as an employee or contractor of a Client), you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization. In that case, "you" and "your" will refer to the organization. If you do not agree with these Terms, you must not use or access TadaIQ.

You must also ensure that your use of the Platform complies with all applicable laws and regulations. The Platform is intended for users in the regions where we operate (currently primarily in Africa). Use of the Platform in certain countries or regions may be restricted by TadaIQ to comply with legal requirements or business considerations.

3. Eligibility

3.1 Age Requirement

The Platform is intended for adults. You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to register as a Contributor or a Client user. By using the Platform, you represent that you meet this age requirement. TadaIQ may require you to provide proof of age at any time. If you are under the required age, you must not use the Platform.

3.2 Legal Competence

You must have the legal capacity to enter into contracts. By agreeing to these Terms, you confirm that nothing legally prevents you from doing so (for example, you are not temporarily or permanently barred from using similar services under any law). If you are using the Platform on behalf of an entity (e.g., a company or NGO as a Client), that entity must be duly organized and able to enter into legally binding contracts, and you as its representative must be duly authorized.

3.3 Regional Restrictions

Given the Platform's focus on Francophone Africa, by using TadaIQ, you acknowledge that certain features or uses may not be available outside our supported countries. TadaIQ reserves the right to restrict or refuse service in certain jurisdictions if providing the service would violate applicable law or expose TadaIQ to legal liability. You also represent that you are not on any official sanctions or prohibited persons lists under applicable export control or economic sanctions laws. (For example, you are not designated by governments as a person with whom commerce is prohibited.)

4. Account Registration and Security

4.1 Account Creation

To use TadaIQ as a Contributor or Client, you will need to create an account and provide certain information. Contributors typically register through the mobile app by providing a valid email address (or other allowed credentials) and setting a password, and may be required to provide additional profile information (such as name, age, location, phone number, etc.). Clients typically register or are onboarded via the web platform, providing organization details and an authorized contact person's information. All information you provide during account setup must be truthful, accurate, and up-to-date. You agree to update your information as needed to keep it accurate.

4.2 Account Security

You are responsible for maintaining the confidentiality and security of your account login credentials. Do not share your password or authentication details with anyone. You agree to notify TadaIQ immediately at our contact email (provided at the end of these Terms) if you suspect any unauthorized access to or use of your account or any security breach. TadaIQ will not be liable for any loss or damage arising from your failure to safeguard your account.

4.3 Account Use and Responsibility

You are responsible for all activities that occur under your account. This means that if you are a Contributor, any Task submissions made via your account are deemed to be made by you. If you are a Client, any actions taken (such as posting tasks or accessing data) via your account are deemed authorized by you. You must not register for more than one Contributor account, and Clients must not maintain duplicate accounts for the same organization without our permission. You must not sell, transfer, or allow others to use your account except as permitted in writing by TadaIQ.

4.4 Account Termination and Suspension

TadaIQ reserves the right to suspend or terminate your account at any time if we have reason to believe that you have violated these Terms, created multiple fraudulent accounts, provided false information, or engaged in any conduct that could harm TadaIQ, other users, or third parties. We may also suspend your account if required by law or if our compliance checks (e.g., KYC - Know Your Customer, anti-fraud, or sanctions screening) deem it necessary. In case of termination or suspension, we will, where legally permissible, notify you of the action and the general reason for it.

5. Description of Services

5.1 For Contributors

TadaIQ provides a mobile-based task marketplace where Contributors can find and complete available micro-tasks. These Tasks may be created by TadaIQ or by Clients and can include activities such as answering survey questions, collecting prices or other information from local markets, capturing photographs of specified items or places, verifying locations, and other field data collection or community feedback tasks. Contributors who complete Tasks according to the instructions and quality standards will earn rewards, such as monetary payments (which may be denominated in local currency or other forms like mobile money, airtime, or points convertible to cash) or other incentives as specified for each Task.

Important: Contributors perform Tasks voluntarily and at their discretion. There is no obligation to accept any particular Task, and there is no guarantee that any minimum number of Tasks will be available to you. The availability of Tasks can vary by location, time, user profile, and client demand. Contributors are not employees or agents of TadaIQ or any Client; rather, you participate as an independent party. Completion of Tasks does not create an employment relationship, partnership, or joint venture between you and TadaIQ. You are responsible for any taxes or legal obligations that may arise from the rewards you earn (see Section 9 on Payment for more details).

5.2 For Clients

TadaIQ offers Clients a data intelligence platform accessible via our web interface (and related services) through which Clients can design and deploy data collection campaigns, monitor progress, and access results in the form of dashboards, analytics, and raw data as applicable. Clients may request specific information by defining Tasks (e.g., designing a survey or specifying a data collection mission). TadaIQ will then distribute these Tasks to the appropriate Contributors in relevant locations. Clients can then view the aggregated data, insights, and analysis from the completed Tasks. Some elements of the service may include real-time dashboards, downloadable reports, API access for data, or other analytic tools.

Important: Important: Access to the Client platform and services may require entering into a subscription agreement or paying fees, as determined by TadaIQ. The specifics of pricing and payment for Clients may be provided in a separate Order Form, Subscription Agreement, or invoice. These Terms of Use still apply to all usage of the Platform by Clients unless expressly overridden by a separate written contract with TadaIQ. In case of any conflict between these Terms and a separately negotiated contract with a Client, the terms of the separate contract will prevail to the extent of the conflict.

5.3 Platform License

Subject to your compliance with these Terms, TadaIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes (for Contributors, to find and complete Tasks; for Clients, to create Tasks and obtain data/insights) and for no other purpose. You may not use the Platform for any unlawful or unauthorized purposes, and you may not resell or exploit the Platform except as expressly permitted by TadaIQ. All rights not expressly granted to you are reserved by TadaIQ.

6. Contributor Obligations and Conduct

This section applies specifically to Contributors using the TadaIQ mobile app or otherwise completing Tasks:

6.1 Task Completion

When you accept a Task, you agree to carefully read the instructions and complete the Task to the best of your ability, truthfully, and in compliance with those instructions. You should only accept Tasks that you are capable of completing lawfully and safely. You must submit the required information or content (such as answers to questions or photographs) within the Task's deadline (if any). Late or incomplete submissions may be rejected and not rewarded.

6.2 Quality and Honesty

You agree to provide accurate, honest, and high-quality data. Submitting false, fabricated, or misleading information, or recycling content from the internet or other sources, is strictly prohibited. Each Submission should reflect your genuine observations or responses. TadaIQ employs quality control checks (both automated and manual) and fraud detection mechanisms. If we determine that any Submission is incorrect, fraudulent, or violates our guidelines, we may reject that Submission, and you will not earn a reward for it. Repeated or serious instances of fraudulent behavior can result in suspension or termination of your Contributor account.

6.3 No Illegal or Unethical Conduct

While performing Tasks, you must abide by all applicable local laws and regulations. This means, for example, you must not trespass on private property, must not take photos of individuals without permission when required by local privacy laws, and must not engage in any illegal activity (such as bribery or harassment) to complete a Task. If a Task instruction appears to require or encourage illegal activity or poses ethical concerns, stop and report it to TadaIQ. You have the right to refuse or skip any Task that you feel is illegal, inappropriate, or unsafe without penalty to your standing (though you simply won't earn the reward for skipping).

6.4 Personal Safety

Your safety is paramount. You are solely responsible for assessing and maintaining your safety while performing any Task. TadaIQ strives to design Tasks that do not put Contributors in harm's way; however, local conditions can vary, and unforeseen risks may exist. If a Task would require you to enter an area or situation you consider unsafe (due to crime, health hazards, civil unrest, natural dangers, etc.), do not proceed with that Task.

You should never risk bodily harm or violate official advisories to complete a Task. TadaIQ will not be liable for any personal injury or loss you may suffer in the course of performing a Task. Use common sense and caution at all times. If you ever feel unsafe or threatened during a Task, cease the activity immediately and leave the area if necessary, and notify TadaIQ of the situation.

6.5 Device and Connection

You are responsible for providing your own mobile device, internet or data connection, and any other equipment or service needed to use the Contributor app and complete Tasks. TadaIQ is not responsible for any fees you incur from third-party service providers (such as mobile data charges or travel costs) in the course of using the Platform, unless expressly stated for a specific Task (for instance, if a particular Task offers reimbursement for certain expenses, that will be indicated).

6.6 No Impersonation or Multiple Accounts

You must use your own identity when registering and using the Platform. Do not impersonate any other person or create a fake identity. You may not create more than one Contributor account for yourself, nor create an account on behalf of someone else. You also may not use any means to circumvent geographic or profile restrictions (for example, using VPNs to pretend you are in a different country to get Tasks not meant for your region, or providing false profile information to qualify for Tasks).

6.7 Independence

As noted, you are not an employee of TadaIQ. You are free to decide when and which Tasks to work on (if any), and you provide your services on a freelance/independent basis. Nothing in these Terms creates an employment, agency, or partnership relationship between you and TadaIQ or between you and any Client. You are responsible for your tax affairs and other legal obligations (see Section 9.2 regarding taxes).

6.8 Prohibited Conduct for Contributors

To maintain a fair and safe community, Contributors must NOT engage in any of the following:

  • • Using automation, bots, or scripts to complete Tasks or to simulate activity on the Platform.
  • • Sharing or selling Task answers or data with other users, or colluding in ways that undermine the integrity of the data.
  • • Harassing, stalking, or harming any person while performing a Task or interacting with others through the Platform.
  • • Misusing or abusing any provided materials or confidential information from a Task.
  • • Attempting to reverse engineer, hack, or otherwise disrupt the Platform or security measures.
  • • Engaging in any other activity that TadaIQ has flagged as prohibited in specific Task guidelines or via communications to you.

Violation of any of the above can result in immediate termination of your account and potential forfeiture of any pending rewards, in addition to any legal consequences under applicable law.

7. Client Obligations and Conduct

This section applies specifically to Clients using the TadaIQ web platform or services to deploy campaigns and access data:

7.1 Responsible Use of Data and Tasks

As a Client, you agree to use the Platform and the data derived from it responsibly and in compliance with all applicable laws. When designing Tasks or campaigns, you will not request Contributors to do anything unlawful, dangerous, or overly invasive of privacy. You agree not to use the Platform to collect any personal data from private individuals unless it is strictly necessary for your legitimate purpose and is allowed under applicable privacy laws. TadaIQ reserves the right to reject, modify, or halt any Client Task or campaign that we believe violates the law, these Terms, or puts Contributors at risk.

7.2 Payment of Fees

If you are using TadaIQ as a Client, you agree to pay all applicable fees for the services (e.g., subscription fees, campaign fees, or pay-per-result fees) as agreed with TadaIQ. Payment terms (amount, schedule, currency, etc.) may be detailed in a separate agreement or invoice. Late payment may result in suspension of access to results or the Platform for the Client. Unless otherwise agreed, all fees paid are non-refundable (except as required by law or explicitly stated by TadaIQ). You are responsible for any taxes, duties, or charges imposed by taxing authorities on the services (excluding taxes on TadaIQ's income). If you believe an invoice or charge is incorrect, you must contact TadaIQ in writing within a reasonable time (e.g., 30 days) of receipt of the invoice, otherwise, you waive the dispute.

7.3 Confidentiality

As a Client, you may receive data and insights that are not publicly available and are the product of TadaIQ's proprietary processes and Contributor efforts. You agree to treat as confidential any non-public information obtained through the Platform, including but not limited to raw data exports, Contributor personal data (if any is ever shared, which normally it is not except perhaps anonymized identifiers), and any analytical tools or methods. You may use the data for your internal business purposes or the specific purposes disclosed when you signed up for the campaign. You agree not to disclose or resell the raw data or insights to third parties without TadaIQ's prior written consent, except in an aggregated or derivative form that does not reveal TadaIQ's data as a standalone product. (For example, using the insights to make business decisions or including them in an internal report is fine; however, repackaging TadaIQ's data and selling it or posting it publicly as-is is not allowed unless separately agreed.)

7.4 Intellectual Property in Task Design

If you, as a Client, provide any content to be used in Tasks (such as a specific survey questionnaire, images, or logos to display to Contributors, or other proprietary information), you retain ownership of that content. However, by using the Platform to distribute that content, you grant TadaIQ a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content to Contributors as needed to perform the Tasks and to otherwise provide the services. Ensure that any content or materials you provide to TadaIQ or upload to the Platform do not infringe any third-party rights. You represent and warrant that you have all necessary rights and permissions to use that content in this context and to grant the license to TadaIQ.

7.5 Data Usage and Compliance

You agree that when you receive data or insights from TadaIQ, you will use them in compliance with applicable laws. If the data includes or constitutes personal data about individuals (even if indirectly), you might be considered a data controller or similar under laws like GDPR or relevant African privacy laws, and you must handle the data accordingly (e.g., ensuring lawful basis for use, not re-identifying anonymized data, honoring deletion requests if applicable, etc.). TadaIQ will generally provide data to Clients in an aggregated or anonymized form to avoid sharing personal data of Contributors unless necessary. If your use of the Platform causes you to receive any personal data, you agree to treat it by privacy laws and only for the purposes for which consent or legal basis exists.

7.6 Prohibited Conduct for Clients

Clients must also refrain from certain activities, including:

  • • Using the Platform to engage in any discriminatory, hateful, or exploitative practices.
  • • Attempting to identify or contact individual Contributors outside of the Platform.
  • • Reverse engineering or interfering with the Platform's systems or security.
  • • Submitting malware, harmful code, or technically disruptive content via the Platform.
  • • Violating any other usage guidelines that TadaIQ provides specifically to Clients.

8. Intellectual Property Rights

8.1 Ownership of the Platform

TadaIQ and its licensors retain all right, title, and interest in and to the Platform and all content, features, and technology we provide (including but not limited to software, databases, algorithms, user interface design, and the collective data compiled on the Platform). TadaIQ's logos, trademarks, service marks, and any brand features are also protected by intellectual property laws. These Terms do not grant you any ownership of any intellectual property rights in our Platform or brand. You must not use TadaIQ's name or branding in a way that implies endorsement or partnership without our written permission.

8.2 Contributor Submissions

As a Contributor, you retain ownership of the content and data you individually create and submit in Tasks unless otherwise required by law. However, by submitting any content via the Platform, you grant TadaIQ a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use, reproduce, distribute, adapt, modify, publish, translate, create derivative works from, publicly display and perform, and otherwise exploit your Submission to provide and improve the TadaIQ services and for TadaIQ's business purposes. This license allows TadaIQ to share your Task submissions with the Client who requested the data, to aggregate and analyze the data, and to create reports or products from it. It also allows TadaIQ to use submissions to improve our Platform (for example, for quality training or product development) and to promote our services (for instance, using a particularly illustrative photo or data point in marketing, though in such cases we would avoid revealing personal identifiers without permission).

In some cases, TadaIQ's agreement with a Client might require that the Client obtain certain rights over the data you submit for their Tasks. For example, a Client may have a license to use the photos or information you collected for their internal or external purposes. By participating in those Tasks, you agree that the Client will have whatever usage rights are necessary to fulfill the intended purpose of the Task. Generally, Clients will receive at least a license for internal business use of the data and insights gathered from their campaigns.

8.3 No Compensation for IP License

Aside from the rewards/incentives provided to you as a Contributor for completing Tasks (which you agree are adequate consideration for the rights granted), you will not be owed any additional compensation for TadaIQ's or a Client's use of the content you submit. Once you submit content, you will not be able to revoke the license (or any assigned rights) for that content, even if you later delete your account or decide to stop using the Platform.

8.4 Contributor Content Responsibilities

You represent and warrant that any Submission you provide: (a) is your original work or you have obtained all necessary rights and permissions from any third parties (for example, if you upload a photo, you took it yourself or have rights to it; if it contains someone else's work, you have permission); (b) does not infringe or misappropriate any third party's intellectual property rights, privacy or publicity rights, or other legal rights; and (c) does not violate any law or these Terms. You agree to indemnify TadaIQ and the affected Client for any losses or legal fees incurred due to claims that your Submission violated someone's rights or the law (see Section 12 on indemnification).

8.5 Client Data and License

As a Client, subject to your compliance with these Terms and payment of all fees, TadaIQ grants you a license to use the data and insights delivered to you through the Platform for your legitimate internal business or organizational purposes. This license will typically be defined in your agreement with TadaIQ, but in the absence of a separate agreement, it is understood to be a non-exclusive, worldwide, perpetual license to use, reproduce, and create derivative works from the deliverables provided to you by TadaIQ. However, you may not resell, redistribute, or publicly publish the raw data or unmodified insights obtained from TadaIQ without our prior consent, except as required by law or as allowed by any open data license explicitly attached to certain datasets (if any). TadaIQ retains ownership of any aggregated, anonymized, or analytical outputs that are general. For clarity, if TadaIQ provides you with a report or dataset, you can use it for your project or decision-making, but you should not, for example, post the exact dataset online or give it to a competitor for their use, unless we have agreed to that in writing.

8.6 Feedback

If you (either as a Contributor or Client) provide feedback, suggestions, or ideas to TadaIQ about the Platform or new services ("Feedback"), you acknowledge that this Feedback is given voluntarily and TadaIQ may freely use, exploit, and incorporate such Feedback into our products and services without any obligation to you.

9. Payments and Financial Terms

9.1 Contributor Payments (Rewards)

TadaIQ will compensate Contributors for completed Tasks as described in the Task details. The form of compensation may vary by task or country – for example, cash payments (via mobile money, bank transfer, or other payment processors), mobile airtime top-ups, vouchers, or points convertible to money or goods. The Task description will indicate the reward amount or formula.

After you submit a Task, it may be subject to review (for quality and compliance). Once a Task submission is accepted/approved, the reward will be credited to your Contributor account balance. TadaIQ may allow you to withdraw your balance upon reaching a certain minimum threshold, or periodically, via specified payout methods.

We will inform you of the available withdrawal methods and any associated fees or requirements (such as identification needed to cash out). You are solely responsible for providing accurate payment details and any information necessary to receive payments. TadaIQ is not responsible for payments sent to the wrong account if the information you provided was incorrect.

TadaIQ will make efforts to pay you promptly, but there may be reasonable delays due to verification steps, third-party payment processing, or banking holidays. All determinations of Task completion and payment eligibility made by TadaIQ are final and at our discretion, based on our quality control processes.

9.2 Taxes for Contributors

The rewards you earn as a Contributor may be subject to taxes (for example, as income) under the laws of your country of residence or citizenship. You are responsible for determining and fulfilling any tax obligations you may have, including reporting earnings and paying any due taxes to the relevant authorities.

TadaIQ does not withhold income tax from payments to Contributors (unless required by law in a specific jurisdiction). TadaIQ may provide you with a summary of your earnings on the Platform upon request to help with any required filings, but the obligation to report and pay rests with you. By using the Platform, you acknowledge that TadaIQ is not providing you with tax or legal advice. if you are unsure about tax implications, seek advice from a professional.

9.3 Fraudulent or Ineligible Earnings

If TadaIQ discovers that any of your earnings resulted from fraudulent submissions, violation of these Terms, or errors, we reserve the right to deduct or reclaim those amounts from your account. We may also withhold payment of any earnings that are under investigation for potential fraud or misconduct. If your account is terminated due to a violation of the Terms, any pending payments may be forfeited at TadaIQ's discretion (except where prohibited by law). TadaIQ will typically notify you if any action is taken on your earnings for these reasons.

9.4 Client Payments

As a Client, you agree to pay TadaIQ for the services provided, as per the terms agreed (e.g., via a proposal, contract, or the pricing shown on our Platform for self-serve usage). Payment must be made in the currency and method specified. You might be required to pre-fund a campaign, pay a subscription fee upfront for a period, or pay upon invoice after data delivery, depending on our arrangement.

If you pay via credit card or electronic means, you agree that we (or our payment processor) may store your payment information and charge you at agreed intervals. If any payment fails or is disputed, TadaIQ may suspend your campaign or access until resolved.

9.5 Refunds

Generally, fees paid by Clients are non-refundable once services have been rendered (for instance, once a campaign has been launched or data delivered). If you believe that services were not provided as agreed or data is unusable due to TadaIQ's fault, please contact us to discuss – we may, at our discretion and consistent with any service level agreements, offer a remedy such as re-running a campaign, providing a credit, or in rare cases a partial refund. However, nothing in these Terms obligates TadaIQ to refund fees simply because the insights did not meet your expectations, especially if the data was collected in good faith according to your specifications.

10. Privacy and Data Protection

Your privacy and the protection of personal data are very important to TadaIQ. Our collection and use of personal information through the Platform are described in detail in our Privacy Policy, which is incorporated into these Terms by reference. Some key points include:

Compliance with Laws

TadaIQ is committed to complying with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) for users in the European Economic Area, the California Consumer Privacy Act (CCPA) for California residents, and relevant privacy laws in African countries where we operate (for example, laws in Côte d'Ivoire and other Francophone African jurisdictions concerning personal data). We apply high standards of data privacy and security to all user data, regardless of region.

Personal Data of Contributors

When Contributors sign up and use the app, TadaIQ may collect personal data such as their name, contact information, demographics, and location (especially when location is relevant to Tasks). We use this information to personalize task assignments, prevent fraud, and process payments. We anonymize or pseudonymize Contributor data when sharing Task results with Clients — typically, Clients see aggregated data and do not see personal identifiers of individual Contributors. If any personal data about you is to be shared with a Client (for example, if a survey specifically asks for personal information to be collected), TadaIQ will ensure appropriate consent is obtained and that the Client must handle that data lawfully.

Personal Data of Clients

If you are an individual acting as or for a Client, we may collect your work contact information and any other information you provide about your organization. We use this to manage the account, provide services, and send communications. For analytics and improvement of our Platform, we may track usage patterns, but will keep Client data confidential per Section 7.3.

Rights of Data Subjects

If GDPR or similar laws apply to your data, you have certain rights, such as the right to access data we hold about you, to request correction or deletion of your data, to object to or restrict certain processing, and to data portability. The Privacy Policy and our internal processes explain how you can exercise these rights (e.g., by contacting our data protection officer or support). If you are a California resident under CCPA, you have the right to know what categories of personal data we collect, the right to opt-out of certain data sales (though TadaIQ does not sell personal data to third parties for profit), and the right to request deletion of your data, subject to some exceptions. TadaIQ will not discriminate against any user for exercising their privacy rights.

Data Security

We implement reasonable and appropriate security measures to protect personal data against unauthorized access, loss, or misuse. However, no system is 100% secure. By using the Platform, you acknowledge that there are inherent risks in transmitting information over the internet, and you agree that TadaIQ is not liable for breaches beyond our reasonable control (such as sophisticated attacks despite our safeguards).

Data Transfers

The Platform's servers or service providers may be located in multiple countries. By using TadaIQ, you understand that your data may be transferred to and processed in countries outside your own. Where we transfer personal data internationally (for example, from the EU to outside), we will use lawful transfer mechanisms (such as standard contractual clauses or verifying the recipient is under an adequate framework) to ensure your data remains protected. If required by law, we will seek your consent for cross-border transfers.

11. Disclaimers of Warranties

Use at Your Own Risk

TadaIQ Platform and all services and content provided through it are offered on an "AS IS" and "AS AVAILABLE" basis. TadaIQ (and its affiliates, officers, employees, and agents) makes no representations or warranties of any kind, express or implied, about the reliability, suitability, accuracy, or availability of the Platform or any data provided through it. To the maximum extent permitted by applicable law, we specifically disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not guarantee that any particular data insight or Task result is accurate or will meet your needs or expectations. Contributors are independent, and their submissions might contain inaccuracies; while TadaIQ strives to filter out bad data and provide quality results, we cannot warrant the complete accuracy or completeness of data gathered via crowdsourcing.

We do not guarantee the availability of any minimum number of Tasks for Contributors or any specific outcomes or returns for Clients. The Platform's content (such as available tasks or data metrics) can change at any time.

No Employment Warranty

We reiterate that being a Contributor is not employment, and TadaIQ does not guarantee any employment benefits, insurance, minimum wage, or continued opportunity. Similarly, no Client is guaranteed exclusivity or a particular competitive outcome through the use of our data.

Third-Party Services

The Platform may utilize or link to third-party services (for payment processing, map data, etc.). TadaIQ is not responsible for those third-party services, which may have their own terms and privacy policies. We make no warranty as to those services; you use them at your option and risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not fully apply to you. In such cases, our warranties are limited to the minimum extent permitted by law.

12. Limitation of Liability

12.1 Indirect Damages

To the fullest extent permitted by law, in no event will TadaIQ or its affiliates, officers, directors, employees, or agents be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with (a) your access to or use of (or inability to access/use) the Platform; (b) any conduct or content of any other user or third party on the Platform (including any defamatory, offensive, or illegal conduct of other users or third parties); (c) any content obtained from the Platform or through Tasks; or (d) unauthorized access, use, or alteration of your transmissions or content. This limitation applies whether the claimed liability is based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damages.

12.2 Direct Damages Cap

To the fullest extent permitted by law, TadaIQ's total cumulative liability to any user (whether a Contributor, Client, or other) for any claims arising out of or relating to the use of or inability to use the Platform or otherwise under these Terms, shall not exceed the amount you have paid to TadaIQ in fees (if you are a Client) or the amount TadaIQ has paid to you in rewards (if you are a Contributor) in the six (6) months immediately preceding the event giving rise to the claim. If you have paid or received no amounts through the Platform, TadaIQ's maximum liability will be fifty U.S. dollars (USD 50) or equivalent in local currency.

12.3 Exclusions

Nothing in these Terms shall limit or exclude liability for gross negligence, intentional misconduct, or death/personal injury caused by our proven negligence, or any other liability that cannot be excluded or limited under applicable law (for example, some countries do not allow limiting liability for certain statutory consumer guarantees).

12.4 Release

You agree not to hold TadaIQ responsible for the actions or inactions of other users. As a Contributor, this means if a Client's Task or directions cause any issue, you may only claim against that Client (if allowed by law) and not against TadaIQ (though TadaIQ invites reports of any problematic tasks and will take appropriate action internally). As a Client, if a Contributor provides inaccurate or bad data, we will try to remedy it through our service (e.g., remove that data from results), but you accept that the Contributor, not TadaIQ, is the origin of that content. By using the Platform, you release TadaIQ from liability for any claims arising from acts or omissions of other users to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless TadaIQ and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to: (a) your use or misuse of the Platform; (b) your violation of these Terms or any law or regulation; (c) your infringement or misappropriation of any intellectual property or privacy rights of any person (for example, if as a Contributor you submit content that you didn't have the right to submit, or as a Client you provided materials you weren't authorized to use); (d) any dispute or issue between you and any third party, including other users, arising from your use of the Platform (e.g., a dispute between a Client and a Contributor or vice versa due to data collected or tasks performed).

TadaIQ reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with TadaIQ in asserting any available defenses). This indemnification obligation will survive any termination of your account or these Terms.

14. Suspension, Termination, and Cancellation

14.1 By You

You may stop using the Platform at any time. If you wish to delete your Contributor or Client account, you may do so by contacting TadaIQ support or through any account settings we provide. Deleting your account will terminate your ability to log in, but certain provisions of these Terms will survive (see Section 15.7 below). If you are a Client with a paid subscription or ongoing campaign and you wish to terminate early, the terms of your separate agreement (if any) will govern any refund or early termination consequences; if no separate agreement, no refund will be provided for the current service period, and you will remain liable for any unpaid fees for services already rendered.

14.2 By TadaIQ

We may suspend or terminate your access to all or part of the Platform if we believe you have violated these Terms, or for security, legal, or operational reasons. We may also suspend the Platform or any part of it at any time in our discretion (for example, to discontinue a feature or service). In most cases, if the issue is fixable, we will provide you with a warning or an opportunity to remedy the violation before termination; however, in serious or urgent cases (e.g., fraud, safety issues, repeated abuses), we may disable or terminate immediately. If you are a Contributor and your account is terminated due to misconduct, you may forfeit any accumulated rewards that have not yet been paid out, especially if they resulted from rule violations. If you are a Client and your account is terminated for breach of Terms or unlawful conduct, you will likewise not be entitled to any refund for services already paid.

14.3 Effect of Termination

Upon any termination of your account, whether by you or us, your right to use the Platform will cease. You must immediately stop using any Platform credentials, and any licenses granted to you (for example, to use the app or access the data) will end. However, any data that was already collected and any rights that were already granted to TadaIQ or Clients will remain in effect. For example, even if you delete your Contributor account, TadaIQ and the relevant Client still retain the license to use any Submission you already provided. Likewise, if you are a Client and terminate your account, TadaIQ may retain and use (in aggregated/anonymized form) the data from your campaigns for its legitimate purposes (as outlined in these Terms and our Privacy Policy).

Any provisions of these Terms that by their nature should survive termination (such as indemnities, limitations of liability, intellectual property provisions, accrued rights to payments, and dispute resolution clauses) shall survive.

15. General Provisions

15.1 Changes to These Terms

TadaIQ may update or revise these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on our website and/or through the mobile app, or by sending you an email or notification. The notice will indicate the effective date of the new terms. It is your responsibility to review the Terms periodically. By continuing to use the Platform after new Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform before the changes take effect and, if applicable, cancel your account.

15.2 Communications

You agree that we may communicate with you electronically (for example, by email or via the app) regarding security, privacy, and administrative issues relating to your use of the Platform. You are responsible for keeping your contact information up-to-date so that you can receive notices. For contractual purposes, you consent to receive communications from TadaIQ in electronic form. You may opt out of non-essential communications (like marketing) via the provided channels, but essential communications about your account or services are necessary for the Platform's functioning.

15.3 Governing Law

These Terms and any disputes arising out of or relating to them or the use of the Platform shall be governed by and construed by the laws of the Republic of Côte d'Ivoire, without regard to its conflict of law principles. We chose this neutral jurisdiction in line with TadaIQ's African regional operations. If you access the Platform from outside Côte d'Ivoire, you do so on your initiative and are responsible for compliance with any local laws.

15.4 Dispute Resolution and Jurisdiction

Except where prohibited by law, any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved amicably through good-faith negotiations between you and TadaIQ. If we cannot resolve the dispute informally within a reasonable time, then, subject to any applicable law that provides otherwise, the courts of Côte d'Ivoire (for example, the Commercial Court in Abidjan, if appropriate) shall have exclusive jurisdiction to settle the dispute. You and TadaIQ each agree to submit to the personal jurisdiction of such courts. Arbitration Clause: We have intentionally omitted any mandatory arbitration clause to ensure enforceability within the African regional context. However, if both parties mutually agree, we may choose to submit the dispute to arbitration or mediation in a neutral venue at that time.

15.5 Class Action Waiver

To the extent permitted by law, you and TadaIQ agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. This means, as allowed by applicable law, no class actions, collective arbitrations, or other representative claims can be pursued by either party against the other.

15.6 No Waiver

TadaIQ's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of TadaIQ.

15.7 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. The invalid provision shall be deemed modified to the least degree necessary to remedy the invalidity while retaining as much of the original intent as possible.

15.8 Entire Agreement

These Terms (along with any additional agreements or policies referenced, such as the Privacy Policy and any Client-specific agreements) constitute the entire agreement between you and TadaIQ regarding the Platform. They supersede all prior understandings or agreements (whether oral or written) regarding the same subject matter. In case of any inconsistency between these Terms and any separate written agreement you have with TadaIQ, the terms of that separate agreement will control for the matters it explicitly covers.

15.9 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without TadaIQ's prior written consent. TadaIQ may freely assign or transfer these Terms (in whole or in part) as part of a corporate reorganization, merger, acquisition, or to any other entity that continues the business of providing the Platform. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

15.10 Language

These Terms are written in English. If we provide a translation in French or another language for convenience, the English version shall prevail in the event of any conflict or ambiguity in interpretation (unless prohibited by local law). All communications and notices to be made or given under these Terms must be in English (or in another language if we explicitly agree).
